These Terms of Service (the "Terms") form a binding agreement between
you and Individual Entrepreneur Nikita Bogdanov,
registered in Tbilisi, Georgia ("Telmur", "we", "us", "our"). By
installing, launching, or using the Telmur macOS application (the
"App"), the backend service at api.telmur.com, or the
website at telmur.com (together, the "Service"), or by
clicking to accept these Terms, you agree to be bound by them and by
our Privacy Policy and
Refund Policy. If you do not agree, do not use
the Service.
Telmur is a macOS application that captures microphone audio, transcribes it through third-party AI providers, and optionally post-processes the resulting text through third-party large language models. It also supports adjacent features such as taking a screenshot of the frontmost window and forwarding it to a model, dictation in multiple modes, and integration with system-level features provided by macOS.
The exact set of features, providers, models, performance characteristics, usage limits, and pricing available at any given time is determined at our discretion and may change as we improve the Service.
You must be at least 16 years old (or the higher of 13 and the minimum age of digital consent in your country of residence) and have the legal capacity to enter into a binding agreement to use the Service. The Service is not directed at children below those thresholds.
You represent and warrant that you are not located in, ordinarily resident in, or a national or entity of any country or territory subject to comprehensive economic sanctions by the United States, the European Union, or the United Kingdom (including, without limitation, Cuba, Iran, North Korea, Syria, the Russian Federation, Belarus, and the Crimea, Donetsk, and Luhansk regions of Ukraine), and that you are not on any government list of restricted or sanctioned persons. You will not use the Service to violate any applicable export control or sanctions law.
Access to the Service requires an account. Accounts are created when you sign in through a supported identity provider (currently Google). You agree to provide accurate information and to keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised access or use of your account at support@telmur.com. We are not liable for any loss or damage arising from your failure to comply with this section.
We may issue long-lived bearer tokens to your account for use by the App. You may revoke any token at any time from your account settings. Revoked tokens stop working within seconds.
You agree not to use the Service to:
We may suspend or terminate accounts that violate this section, with or without prior notice depending on severity, and may report illegal activity to the appropriate authorities.
We offer free and paid plans for the Service. Subscription fees are charged at the price displayed on our website at the time of purchase. Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
Merchant of Record. Purchases of the Service are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record. Paddle handles payment, billing receipts, refunds, chargebacks, and the calculation and remittance of sales tax, VAT, GST, and similar transaction taxes in jurisdictions where required. Your purchase is also subject to Paddle's buyer terms.
All fees are exclusive of applicable taxes. Paddle calculates and remits transaction taxes where required. You are responsible for any other taxes that may apply to your use of the Service under the law of your country of residence.
We may change our prices and plan structures from time to time. Any price change will apply to your next billing period and will be communicated to you in advance.
Usage allowances. Each plan, including paid plans, includes an allowance for requests, processing volume, or equivalent metrics, intended to support typical use. We measure usage on a billing-period basis. To balance service quality, infrastructure cost, and fair access across users, we may temporarily suspend or throttle access once your plan's allowance for the current period has been reached, until the start of the next billing period or until you upgrade to a higher plan. Reaching your plan's allowance does not entitle you to a refund of fees for the current billing period, as the allowance defines the service included in the plan. We may adjust allowances from time to time and will communicate material changes to you in advance.
If you are not satisfied with the Service for any reason, contact us within thirty (30) days of your initial purchase and we will issue a full refund. After this 30-day window, refunds are not provided, but you may cancel at any time to stop future renewals. The full terms are set out in our Refund Policy, which forms part of these Terms.
"Inputs" means the audio, images, prompts, and other content you submit to the Service. "Outputs" means the text, audio, or other content the Service generates for you based on Inputs.
As between you and us, you retain ownership of your Inputs and the Outputs generated for you. You grant us a limited, worldwide, royalty-free licence to host, transmit, display, and process your Inputs and Outputs solely to the extent necessary to operate, maintain, secure, and improve the Service. This licence terminates when you delete the content or your account, subject to retention permitted or required by law and to the retention practices described in our Privacy Policy.
You acknowledge that, due to the nature of AI, Outputs may not be unique to you, and other users may receive similar or identical Outputs from similar Inputs. Your rights in your Outputs do not extend to others' Outputs or to the underlying technology, models, prompts, or systems we and our providers use to generate Outputs, which remain our property or the property of our providers.
You are responsible for ensuring that you have all rights, consents, and licences necessary to provide your Inputs to the Service and to use the resulting Outputs for your intended purpose.
Feedback licence. If you provide us with feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that Feedback for any purpose without obligation to you. Feedback is provided voluntarily and is not considered confidential.
The App, the backend, the website, our trademarks, logos, branding, and the structure, organisation, and text of these documents are owned by Telmur and are protected by copyright, trademark, and other laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to install and use the App on devices you own or control and to use the Service for your personal or internal business purposes.
Nothing in these Terms grants you any right or licence in our intellectual property except the limited rights described above. All other rights are reserved.
The Service depends on and integrates with third-party services and infrastructure, including AI providers, cloud hosting, payment processing, identity providers, and operating-system features provided by device manufacturers. Those services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, content, security, or practices of third-party services, and we may add, remove, or substitute providers at any time without notice.
Outputs generated by AI providers may contain errors, inaccuracies, hallucinations, or content that is offensive, biased, or otherwise unsuitable for your intended use. AI outputs are probabilistic and may not be unique — different users may receive similar outputs. You are solely responsible for evaluating the accuracy and appropriateness of Outputs before relying on them.
You should not rely on Outputs as a sole source of truth, as a substitute for professional advice (including legal, medical, financial, tax, or other regulated advice), or in any life-critical or safety-critical context. Telmur is not a medical, legal, financial, or other professional-advice tool.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, NOR DO WE WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUT.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent that any warranty cannot be excluded under applicable law, it is limited to the minimum extent permitted by that law.
To the maximum extent permitted by applicable law, in no event will Telmur or its owner be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including without limitation loss of profits, revenue, data, goodwill, or business opportunity — arising out of or relating to the Service or these Terms, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising from or related to these Terms or your use of the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for gross negligence, wilful misconduct, fraud, or death or personal injury caused by negligence.
You agree to indemnify, defend, and hold harmless Telmur, including its owner and operators, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service in violation of these Terms or applicable law; (b) your Inputs or content provided to the Service, including any claim that they infringe or misappropriate third-party rights; (c) your use of the Service to record, transcribe, or process the speech or content of another person without their consent; (d) your sharing of account credentials with others; or (e) your gross negligence or wilful misconduct.
We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government action, labour disputes, internet failures, denial-of- service attacks, or failures or outages of third-party services or providers (including AI providers, cloud hosting providers, or payment processors) on which the Service depends.
You may stop using the Service and delete your account at any time from the App or by emailing support@telmur.com. Account deletion is handled in accordance with our Privacy Policy and applicable law.
We may modify, suspend, or discontinue the Service (in whole or in part) at any time. We may suspend or terminate your access for any breach of these Terms, suspected fraud, abusive behaviour, or if we are required to do so by law. Where reasonable, we will provide notice and an opportunity to remedy non-serious breaches. Termination for cause does not entitle you to a refund of fees paid for the period preceding termination.
If we voluntarily discontinue the Service in whole or in part, we will provide reasonable advance notice where practicable. Any refund, transitional access, or other form of compensation for unused prepaid periods is at our discretion.
Sections that by their nature should survive termination — including provisions relating to Intellectual Property, Inputs and Outputs, Feedback, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and General Provisions — survive termination of these Terms.
These Terms are governed by the laws of Georgia, without regard to its conflict-of-laws rules. Where you are a consumer with mandatory rights to bring claims in your local courts under the law of your country of residence, nothing in these Terms restricts those rights.
Before initiating any formal dispute, you agree to first contact us at hi@telmur.com and try to resolve the issue in good faith for at least thirty (30) days.
Class action waiver. To the maximum extent permitted by applicable law, you agree that any dispute will be resolved on an individual basis, and you waive any right to participate in a class, collective, or representative action against us. This provision does not apply where prohibited by mandatory consumer protection law in your country of residence.
We may update these Terms from time to time. The "Last updated" date at the top of this page is always current. Material changes will be communicated by email and/or in-app notice at least fourteen (14) days before they take effect, unless an earlier change is required for legal, security, or operational reasons. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and cancel your subscription before the effective date.
